About the role

This is a senior Individual Contributor position and a rare opportunity to step in as Venn’s first and sole in-house counsel. You will own and manage all legal aspects of the business, act as the primary point of contact for legal matters, and coordinate with external counsel in Israel and the U.S. The role combines strategic guidance with hands-on execution and requires strong cross-border experience, particularly in Israeli corporate law, U.S. commercial matters, and privacy/compliance frameworks. By building and owning the legal function end-to-end, you will make a direct impact on the growth and success of a fast-scaling international tech company.

What you’ll do

Legal Strategy & Risk Management- You will lead Venn’s legal function, ensuring priorities are aligned with business goals while identifying, managing, and mitigating risks across Israel, the U.S., and other jurisdictions, partnering with the CFO and executive team. You will provide proactive, business-oriented legal support.

Corporate Governance - You will oversee governance for both the Israeli parent and the U.S. subsidiary, ensuring compliance with the Israeli Companies Law and U.S. state registries. This includes managing shareholder meetings, preparing board materials, handling related-party transactions and filings, and maintaining corporate records. You will also support shareholder agreements, investment terms, and intra-group transactions.

Commercial Contracts- You will own the contracting process by drafting, reviewing, and negotiating agreements with customers, partners, and suppliers. You will also maintain and improve templates (NDAs, MSAs, POCs, reseller agreements, etc.) and manage the entire contract lifecycle from initiation to execution.

Regulatory, Privacy & Compliance- You will ensure compliance with GDPR, CCPA, SOC 2 Type II, ADA, and Israeli privacy laws. You will manage Venn’s IP portfolio (patents, trademarks, copyrights) and lead internal training on privacy, security, and ethics.

Employment & HR Legal Support- You will advise on employment and contractor arrangements globally, draft and update agreements, maintain policies such as the Employee Handbook and Code of Conduct, support ESOP programs and option grants, and advise on employee relations, disciplinary actions, and terminations.

Fundraising & Strategic Transactions- You will provide legal support for financing rounds, M&A activity, and strategic partnerships, while ensuring Venn maintains a due diligence-ready Data Room at all times.

Insurance Management- You will manage Venn’s insurance portfolio, including D&O, professional liability, cyber, product liability, property, and health coverage. You will ensure policies meet contractual and regulatory requirements, handle claims, and coordinate with insurers.

External Counsel Management- You will select, engage, and manage external counsel in Israel and the U.S. across corporate, commercial, employment, and IP matters, while optimizing scope, efficiency, and budget.

Qualifications

  • Licensed attorney in Israel (U.S. or EU qualification a plus)
  • 8+ years of commercial/hi-tech legal experience, including cross-border work
  • Proven expertise in Israeli corporate governance and management of U.S. subsidiary matters
  • Strong background in employment law, privacy, and compliance (GDPR, CCPA, SOC 2 Type II, ADA)
  • Exceptional drafting and negotiation skills for complex commercial agreements
  • Independent decision-making and ownership of the legal function
  • Strong business acumen combined with deep legal expertise
  • Excellence in multi-party, cross-border negotiations
  • Ability to collaborate effectively across departments and geographies
  • Fluent English, both written and spoken, with excellent legal drafting ability

Nice-to-Have

  • Experience in SaaS, B2B, or growth-stage companies
  • Familiarity with corporate insurance programs and D&O protections
